1. Introduction

These Terms of Service ("Terms") govern your use of Rupesy, a commercial intelligence platform operated by Pixel and Shovel Ltd ("we", "us", "our"), a company registered in England and Wales.

By creating an account or using Rupesy, you agree to be bound by these Terms. If you do not agree, please do not use our service.

2. The service

Rupesy is a B2B software platform that helps wholesalers, retailers, and distributors:

• Upload and compare supplier price lists
• Track competitor pricing
• Find the best prices using AI-powered search and analysis
• Set up price alerts and receive notifications
• Generate reports and export data

3. Account registration

To use Rupesy, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Be authorised to act on behalf of your business (if applicable)
• Keep your login credentials secure and confidential

4. Free trial and subscriptions

Free trial:

New users receive a 14-day free trial with full access to features. No payment details are required to start your trial. After 14 days, you will need to subscribe to continue using the platform.

Paid subscriptions:

• Subscriptions are billed monthly or annually, depending on your chosen plan
• Payments are processed securely through Stripe
• Prices are displayed in GBP and include VAT where applicable
• Your subscription will automatically renew unless cancelled

Cancellation:

You may cancel your subscription at any time from your account settings. You will retain access until the end of your current billing period. We do not offer refunds for partial billing periods.

5. Acceptable use

When using Rupesy, you agree not to:

• Upload false, misleading, or illegal content
• Attempt to access other users' data or accounts
• Use the platform to harm competitors unlawfully
• Reverse engineer, scrape, or copy our software
• Overload our systems with automated requests
• Use the service for any unlawful purpose
• Share your account credentials with others
• Resell or redistribute access to the platform

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your data

You retain ownership of all data you upload to Rupesy, including price lists, product information, and business data.

By uploading data, you grant us a limited licence to process, store, and display that data solely to provide the service to you. We will not share your data with other users or third parties except as described in our Privacy Policy.

You are responsible for ensuring you have the right to upload any data you provide, and that doing so does not breach any confidentiality agreements or third-party rights.

7. AI features

Rupesy includes AI-powered features such as natural language search, deal finding, and price insights. These features are provided to assist your decision-making but should not be relied upon as the sole basis for business decisions.

AI outputs are generated based on the data you provide and may not always be accurate. We recommend verifying important information before acting on it.

8. Availability and support

We aim to keep Rupesy available 24/7, but we do not guarantee uninterrupted access. We may occasionally need to perform maintenance or updates that temporarily affect availability.

9. Intellectual property

Rupesy, including its design, code, features, and branding, is owned by Pixel and Shovel Ltd. You may not copy, modify, or distribute any part of the platform without our written permission.

We respect the intellectual property of others. If you believe any content on Rupesy infringes your rights, please contact us at hello@rupesy.com.

10. Limitation of liability

To the fullest extent permitted by law:

• Rupesy is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform
• Our total liability to you for any claims arising from these Terms or your use of Rupesy is limited to the amount you paid us in the 12 months before the claim
• We are not responsible for business decisions you make based on data or insights from the platform

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Pixel and Shovel Ltd and its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms or your use of Rupesy.

12. Changes to these Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by email or by displaying a notice on the platform. Your continued use of Rupesy after changes take effect constitutes acceptance of the new Terms.

13. Termination

You may close your account at any time by contacting us or through your account settings.

We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or if we discontinue the service. Where possible, we will give you reasonable notice before termination.

Upon termination, your right to use Rupesy ends immediately. We will delete your data in accordance with our Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of Rupesy will be subject to the exclusive jurisdiction of the courts of England and Wales.
